1. Who we are
The website and the T-Suite platform are owned and operated by Libertum Ltd, a private limited company incorporated in England and Wales on 3 February 2023 under company number 14638562, whose registered office is at 15 Crammavill Street, Grays, England, RM16 2AP (“Libertum”, “we”, “us”, “our”). Unless a section says otherwise, your contract under these Terms is with Libertum Ltd.
Other companies in the Libertum group provide specific services:
- Libertum, S.A. de C.V., Av. La Revolución, Presidente Plaza, level 6, office 12, San Salvador, El Salvador, is registered with the Comisión Nacional de Activos Digitales (CNAD) of El Salvador as a Digital Asset Service Provider (registry entry PSAD-0094). It provides the digital asset services described in section 16, including the custodian wallet described in section 8, and issues the Smart Contract Certificates shown on T-Suite. When you use those services, Libertum, S.A. de C.V. is your counterparty for them and is entitled to rely on these Terms.
- Libertum LLC (United States) is registered with the Financial Crimes Enforcement Network (FinCEN) as a money services business (registration no. 31000312444528). Registration with FinCEN is a mandatory filing under the Bank Secrecy Act; it is not a licence to deal in securities, and FinCEN does not recommend, approve or endorse any registered business.
Details of these registrations are published on our licences page.
What Libertum is not. Libertum Ltd is not authorised or regulated by the UK Financial Conduct Authority. No Libertum company is registered or authorised as a broker-dealer, alternative trading system, exchange for securities, investment adviser, investment firm or fund manager, or as a crypto-asset service provider under the EU Markets in Crypto-Assets Regulation (MiCA), and none holds a securities licence in the United Kingdom, the European Union, the United States or elsewhere. Libertum does not issue, underwrite, sponsor, promote or recommend the tokens or offerings available on T-Suite, does not act as a certifier of public offerings under El Salvador’s Ley de Emisión de Activos Digitales (LEAD), and is not authorised to provide structuring, promotion or management of investment products.
2. Acceptance and changes to these Terms
These Terms apply together with our Privacy Policy and Cookie Policy, and with any additional terms shown to you for a particular product, feature, plan or offering (for example a subscription agreement, an order form, an offering’s documents or the terms of a third-party provider). If additional terms conflict with these Terms, the additional terms apply to that product or feature. As between an investor and an issuer, the issuer’s offering documents govern the investment itself.
If you use T-Suite on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it, and “you” includes that organisation.
We may change these Terms, for example to reflect changes to T-Suite, to the law or to regulatory guidance. We will publish the updated Terms on this page with a new “Last updated” date. If a change materially affects your rights or obligations, we will tell you by email or in T-Suite at least 30 days before it takes effect, unless we need to make the change sooner for legal, regulatory or security reasons. If you do not agree to a change, you may close your account before the change takes effect (see section 24); if you continue to use T-Suite after it takes effect, the changed Terms apply to you.
Existing accounts. If you opened your account before 17 October 2026, this version replaces the previous Terms of Use from the earlier of (a) your acceptance of this version in T-Suite and (b) 16 November 2026.
3. Definitions
In these Terms:
- Account means your T-Suite user account, and Organisation means an issuer, asset manager or other business workspace on T-Suite, together with its team members.
- Custodian wallet means a blockchain address provisioned for you by Libertum on a supported network, whose private key is generated and held by Libertum, S.A. de C.V. (section 8).
- Investor means a user who registers interest in, subscribes for, holds, transfers or redeems tokens on T-Suite.
- Issuer means the person or entity that offers or has issued tokens through T-Suite, including through a white-label portal, and that is responsible for the offering.
- Offering means an offer of tokens by an issuer on T-Suite, together with its offering documents.
- Tenant means an organisation that operates a white-label portal on T-Suite under its own brand or domain.
- Tokens means digital tokens recorded on a public blockchain (such as Ethereum, Base, Polygon, Arbitrum, BNB Smart Chain, Cardano or the XRP Ledger) that represent rights, interests or value defined by their issuer.
- User content means any information, documents, data or materials you upload, submit or create on T-Suite.
4. Eligibility
To use T-Suite you must:
- be at least 18 years old and have full legal capacity to enter into a binding contract (or, for an organisation, be duly incorporated and validly existing);
- not be a person who is the subject or target of sanctions administered by the United Nations, the United Kingdom, the European Union or the United States, nor owned or controlled by, or acting for, such a person;
- not be resident in, incorporated in or located in a country or territory where we restrict access, or where use of T-Suite or of a particular offering would be unlawful; and
- provide complete, accurate and current information and keep it up to date.
We maintain country restrictions and may refuse, limit or end access from particular countries at any time, including countries subject to a call for action by the Financial Action Task Force (FATF) or to comprehensive sanctions. Issuers may also restrict their offerings to, or exclude investors from, particular countries, and those rules are applied when you place an order. You must not use a VPN, a false address or any other means to get around a restriction.
An offering being visible to you does not mean that it is lawfully available to you. Each issuer decides who may invest in its offering, and you are responsible for making sure that you are allowed to invest under the laws that apply to you.
5. Accounts, verification and security
One account, many portals. Your T-Suite account works across Libertum and the white-label portals that run on T-Suite. A tenant’s portal may show its own brand and may have its own terms for its services in addition to these Terms.
Identity verification. Before you can invest, hold tokens in a custodian wallet or offer tokens, you must pass identity verification (KYC for individuals, KYB for organisations, including their directors and beneficial owners). Verification is carried out through our provider Sumsub and may include a government identity document, a selfie and liveness check, proof of address and screening against sanctions, politically-exposed-person and adverse-media sources. On some white-label portals, verification is carried out through the tenant’s own Sumsub account. We, and where applicable the tenant or the issuer, may ask for more information at any time, including evidence of source of funds or wealth, and may decline, suspend or withdraw approval where the law or our compliance policies require it. You can ask for a human review of a verification decision.
Passing verification does not by itself allow you to invest in a particular offering: the issuer or its transfer agent may also need to approve your wallet for that offering, and on-chain compliance rules (for example the identity registry of an ERC-3643 token or the KYC list of a CIP-113 token) may block transfers to addresses that are not verified.
Security. You are responsible for keeping your password, authenticator app, backup codes, email account and devices secure, and for all activity on your account. Two-factor authentication with an authenticator app is available for every account, and some actions, such as withdrawals, always require an additional single-use code. Sessions end automatically after a period of inactivity (60 minutes by default). Tell us immediately at [email protected] if you suspect unauthorised access. Never share your credentials or codes with anyone, including anyone claiming to be from Libertum: we will never ask you for your password or for a code.
Accuracy. You must not open more than one account for the same person, open an account for someone else without their authority, or use another person’s identity or verification.
6. Our role
T-Suite is technology. Through it, issuers create and manage offerings and tokens, investors subscribe for and hold tokens, and organisations manage assets, investors and documents. Unless a section of these Terms expressly says otherwise:
- Libertum is not a party to any offering or investment and does not sell tokens to you; the issuer is the counterparty to your investment and is responsible for its offering;
- Libertum does not assess the merits, value, legality or suitability of any offering, issuer or asset, and our review of an offering before it is published (section 9) is a platform check, not due diligence, an endorsement or a regulatory approval;
- Smart Contract Certificates record the results of Libertum’s automated technical checks of a token’s smart contracts at the time stated; they are not a certification for a public offering under the LEAD, not a legal opinion and not a regulatory approval of an offering or its issuer;
- Libertum does not receive or hold fiat money for investors: bank wires are paid to the issuer’s designated account and card payments are processed by Stripe; and
- Libertum provides no investment, legal, tax, accounting or financial advice (section 17).
7. Investors
Offerings are made by issuers. Each offering is made by its issuer, on the issuer’s own offering documents and under the issuer’s responsibility. Read the offering documents in full, including the risk factors, the rights attached to the tokens, any transfer restrictions, lock-ups or hold periods and the issuer’s redemption and distribution terms, before you invest. Libertum does not verify, and is not responsible for, the information provided by issuers.
Risk warning. Investing in tokenised assets is high risk. You may lose all of the money you invest. Tokens may be illiquid: there may be no secondary market, you may be unable to sell or redeem your tokens when you want to or at all, and any market that exists may stop. Past performance, projected returns, valuations and net asset values are not reliable indicators of future results. Only invest money you can afford to lose, and take independent professional advice if you are unsure whether an investment is right for you.
Investment limits and accreditation. Issuers set the rules for their offerings, which may include minimum and maximum amounts, a maximum holding per investor, a higher maximum for accredited, professional or similar investors, hold periods and country rules. Where you apply for accredited or equivalent status, you must answer truthfully and provide genuine supporting documents; approvals carry an expiry date. You remain responsible for confirming that you meet the criteria that apply to you.
Orders and payment. When you place an order you make an offer to subscribe for tokens on the terms of the offering. Depending on the offering and your location, you may be able to pay by card (processed by Stripe; card details are handled by Stripe and are not stored by Libertum), by bank wire to the issuer’s designated account, in supported stablecoins from a wallet you control (USDC or USDT on supported EVM networks; RLUSD or USDC on the XRP Ledger, where USDT is not available), or from the stablecoin balance of your custodian wallet. Payments must come from you: payments from third parties are not accepted. Stablecoin payments are made into an escrow smart contract and released to the issuer only when the amount paid matches the order. You must complete payment within the time shown at checkout; unpaid orders may expire or be cancelled. If a bank wire is disputed, tokens are not delivered until the dispute is resolved. Libertum, the issuer or its transfer agent may reject or cancel an order, for example if eligibility, limits, sanctions or compliance checks are not met; refunds of cancelled or rejected orders are made under the terms of the offering, by the route set out in its documents.
Delivery. Tokens are delivered to your custodian wallet (or, where the offering supports it, to a wallet you control and have registered) once payment is verified and the order is settled. Blockchain transactions can be delayed or fail, and on-chain compliance rules may block a transfer.
Registering interest. Registering interest in an offering marked “Coming soon” does not create an order, an allocation, a payment obligation or a place in a queue, and you can withdraw it.
Distributions and redemptions. Any dividend, distribution, interest or redemption is the issuer’s obligation and is made on the issuer’s terms. Libertum processes the payments and redemption requests that the issuer instructs through T-Suite, but does not guarantee that any payment will be made, its amount or its timing. Redemptions are only available where and when the issuer opens a redemption window, and may be limited by capacity. Fees that apply to a payout or redemption are shown before you confirm and may be deducted from the amount you receive.
Secondary market. A peer-to-peer market for eligible tokens is available only on the networks and offerings where we have enabled it. Trades are between investors; Libertum is not a counterparty, does not set prices, does not act as a market maker and does not guarantee that a buyer or seller will be found. Trades must be completed within the settlement window shown, and all of the token’s compliance rules continue to apply.
Imported tokens. Some tokens shown on T-Suite were created outside T-Suite and imported by their issuer (“Token Import”). Libertum did not deploy those contracts and certifies them only as observed. Where an issuer invites existing holders to claim their holdings on T-Suite, the issuer’s list of holders is the issuer’s own statement: it does not verify anyone and does not change any balance. You must still pass verification, and the token’s on-chain records prevail.
Statements and tax. T-Suite shows your holdings and transactions, but it does not currently provide tax forms. You are responsible for your own tax reporting and payments.
8. Custodian wallet
This section applies when you hold tokens or stablecoins in a custodian wallet. The custodian wallet is provided by Libertum, S.A. de C.V. as part of its digital asset services (section 16).
How it works. When your verification is approved, a custodian wallet may be provisioned for you on each supported network so that you can invest without operating a wallet of your own. Its private key is generated and held, encrypted, by Libertum and is not disclosed to you. Each client has their own address on each network; client assets are not pooled in shared addresses and are not held in Libertum’s own operational wallets. The assets in your custodian wallet belong to you. Libertum does not lend, pledge or otherwise use them for its own account. Fiat money is never held in a custodian wallet.
Supported assets only. Only send supported assets, on the network shown on the receiving screen. Assets sent on another network, or unsupported assets, may be lost and may not be recoverable. Tokens with on-chain compliance rules can only be received if you are eligible to hold them.
Withdrawals. You may withdraw assets from your custodian wallet to an external address, subject to the token’s transfer rules and to our security controls. These may include: the ability to suspend withdrawals platform-wide or pause signing during an incident; where enabled, a requirement that the destination be an address you saved at least 24 hours earlier (saving an address triggers an alert email); screening of the destination against sanctioned addresses; per-transaction and daily limits; review and approval by Libertum of withdrawals above a threshold; and confirmation of each withdrawal with a single-use code sent by email or generated by your authenticator app, or with a backup code. A withdrawal may be delayed or refused while these checks run. Check the destination address and network carefully: blockchain transfers cannot be reversed. If a withdrawal fails after it has been broadcast, the network fee has been consumed and cannot be refunded.
Network fees (gas). When you pay for a subscription from your custodian wallet balance, Libertum pays the network fee and you are not charged for it (it may be recharged to the issuer). Network fees for withdrawals and other transactions you request may be charged to you where we have enabled fee billing; if so, the fee is shown before you confirm. When you sign a transaction from a wallet you control, you pay its network fee.
Freezes and forced transfers. We may freeze a custodian wallet or a holding, refuse a transaction or hold assets where the law requires or permits it, including for sanctions, to investigate suspected financial crime or unauthorised activity, under an order of a court or competent authority, or at the request of the issuer under the terms of its offering. Tokens may also have on-chain features that allow their issuer or its agent to freeze addresses or carry out forced transfers (for example to recover tokens for a holder who has lost access); those features are used only on a basis permitted by law and by the terms of the offering.
Account recovery. If you lose access to your account, you can recover it through account recovery and identity re-verification. Because Libertum holds the keys, your custodian wallet itself does not need to be recovered.
Nature of the custody. Custodian wallets are hot wallets: keys are held, encrypted, on internet-connected servers and used automatically when you instruct a transaction. This is convenient but carries operational and cyber-security risks (section 18).
9. Issuers and organisations
This section applies to organisations that use T-Suite to create offerings, issue or manage tokens, or run a white-label portal.
Your responsibility for your offering. You are solely responsible for your offering and your tokens, including: their legal structure and the rights they represent; your title to, and the existence and condition of, any underlying asset; obtaining any registration, licence, exemption or approval you need in each country where you offer, market or sell; the accuracy, completeness and lawfulness of your offering documents, disclosures and marketing; deciding which investors are eligible and the limits and restrictions that apply; meeting your own anti-money-laundering, sanctions, tax, reporting and record-keeping obligations (you may rely on T-Suite’s onboarding to support them, but responsibility remains yours); and honouring your obligations to investors, including distributions, redemptions and information rights. Using T-Suite does not register you or your offering with any authority, and our licences and registrations do not cover your activities.
Verification and review. Your organisation and its beneficial owners must pass KYB verification. Before an offering is published, Libertum reviews it against platform requirements (for example verification, documents, token settings, compliance configuration and country conflicts). We may require changes, decline to publish, or suspend or delist an offering where we reasonably consider it necessary for legal, regulatory, security or reputational reasons. Our review is not due diligence on you or your offering.
White-label portals. If your plan includes a white-label portal, you may run T-Suite under your brand and, where available, your own domain. You must have the right to use any name, logo, domain and content you provide, and you are responsible for what appears on your portal, for your own terms with your users and for your marketing. A white-label portal gives you no licence or regulatory status. If a renewal payment for your organisation fails, access may be limited after a short grace period; investors on your portal will still be able to view, withdraw, redeem and sell their holdings where available, but new investments may be paused until the payment is made.
Team members and roles. You may invite team members and give them roles and permissions. You are responsible for the people you invite and for everything they do in your organisation. Team members with an Admin role have the same access as the owner, except where T-Suite reserves an action to the owner (such as changing a custom domain). Remove access promptly when someone leaves.
Smart contracts and control. Tokens issued on T-Suite are deployed from Libertum’s smart-contract factories. Depending on the configuration you choose, owner powers over a token (such as changing its compliance rules or identity registry) may be held by a wallet you control or by your organisation’s custodian wallet, and Libertum’s platform agent carries out routine operations (such as minting, freezes and distributions) on the instructions you give through T-Suite. Where your organisation’s custodian wallet holds a role, Libertum holds that key for you and uses it only on your instructions given through T-Suite, as required by law, or to protect the platform and its users. With Token Import, an imported token starts as a read-only mirror; nothing on the contract changes unless you grant roles to Libertum or choose to hand control to your organisation’s custodian wallet, and you confirm that you are authorised to do so. You must not instruct a freeze, forced transfer or other action against a holder except on a lawful basis and in accordance with your offering terms.
Co-listing (Ecosystem Directory). You may ask another tenant to show your offering on its marketplace, and tenants may accept or decline such requests. Wherever an investor buys, payment goes to you as issuer and you remain responsible for the offering; the host tenant does not become the issuer or your agent.
Investor information. You will receive information about investors in your offerings, such as their verification status and their activity in your offerings (which offering, when, the type of action and any amount). You must use it only to administer your offering and your relationship with those investors, keep it confidential and secure, comply with the data-protection laws that apply to you (you are responsible for your own use as a controller), and never sell it.
Transfer agents. Where you appoint a transfer agent, it may use the separate Transfer Agent application to approve or reject investor wallets for your offering. You are responsible for that appointment.
Fees. Section 15 applies.
10. Asset Management and Funds
Asset Management gives organisations tools to record and manage assets, their documents and lifecycle, and to prepare them for tokenisation. Information you record is your user content; Libertum does not verify it.
Funds, where made available to you, provides tools for fund managers and administrators, such as net asset value (NAV) workflows, subscriptions and redemptions, and investor records. The fund, its manager and its administrator remain responsible for the fund, including the calculation and approval of NAV, transfer agency, investor eligibility and all regulatory obligations. Libertum is not the administrator, transfer agent, manager, adviser or issuer of any fund. AI features within Funds may read data and prepare drafts, but they cannot approve anything; approvals are made by people you authorise.
11. Distribution Hub and Libby AI
Distribution Hub is an investor-relations workspace for your organisation (shared by your team), in which you can manage investors and prospects, campaigns and outreach. Libby AI is an optional assistant that researches firms and professional contacts from public sources (such as firm websites, regulator registers and filings, and reputable press) and drafts outreach briefs.
- AI output can be wrong or incomplete. Results may be inaccurate, out of date or incomplete, and may occasionally be based on the model’s general knowledge rather than a live search (results are flagged when this happens). Verify any information before you rely on it or act on it.
- Your outreach is your responsibility. Libby does not send messages. You decide whom to contact and how, and you are responsible for complying with the laws that apply, including data-protection law (such as the UK GDPR and EU GDPR), electronic-marketing and anti-spam rules (such as the UK Privacy and Electronic Communications Regulations and the US CAN-SPAM Act), and the rules on financial promotions and offerings in each country where you contact people. You must have a lawful basis for processing the personal data of your prospects and must honour objections and opt-outs.
- Erasure and objections. If a person asks Libertum to erase their data or objects to its use, we remove them from all Distribution Hub workspaces and prevent them from being added again by Libby. You must not re-add a person who has objected.
- Gmail connection. You may connect a Gmail inbox using Google’s read-only permission so that the Hub can show relevant correspondence. Libertum cannot send email from your account. You can disconnect at any time from the Hub or from your Google account settings.
- AI usage. Your plan may include an AI usage allowance; usage above it is billed as shown in T-Suite and on your invoice.
12. Structuring
Structuring (currently in beta) is software that helps issuers prepare a structuring pack for an offering: it asks questions, suggests options to discuss with counsel, and generates draft documents with the help of AI.
- Drafts, not advice. Everything Structuring produces is a draft generated by software, including with AI, to assist you. It is not legal, tax, regulatory or financial advice, and it is not a substitute for advice from qualified professionals in the relevant jurisdictions.
- Libertum is not your structurer. Libertum does not provide legal or structuring services, does not act as structurer, promoter, arranger or adviser of your offering, and is not authorised to provide structuring, promotion or management of investment products. Unless a pack is expressly described in T-Suite as reviewed by counsel, its templates have not been reviewed by counsel.
- Review by your own counsel. You must have every document reviewed, adapted and approved by your own qualified legal counsel before you sign, file, publish or rely on it. You are responsible for the final documents, for any filings and for the choices you make.
- Collaboration. You may invite colleagues and outside counsel. Guest links can be limited in time, protected and revoked, and guest input arrives as suggestions for you to accept or reject. If your organisation’s subscription lapses, the workspace is paused for everyone until it is renewed.
13. Stablecoin Studio
Stablecoin Studio provides tools to configure, deploy and manage your own stablecoin or payment token, where your plan allows it (some plans are limited to test networks). You are the issuer of any token you create. Issuing, distributing or redeeming a stablecoin or payment token is regulated in many countries and may require licences, reserves, audits and disclosures. Libertum’s registrations do not cover your issuance, and you are responsible for obtaining every authorisation you need and for honouring any redemption or reserve commitments you make.
14. API, beta and preview features
API. T-Suite’s application programming interfaces are not currently offered as a supported public product. Any integration must be agreed with us in advance. Interfaces, paths and limits may change without notice, rate limits apply, and you must keep any credentials we issue to you confidential. We may suspend API access that threatens the stability or security of T-Suite.
Beta and preview features. Some features are labelled beta, limited or preview. They are provided for evaluation, may change, be suspended or be withdrawn at any time, and may be subject to additional terms. Preview features may not execute real transactions; anything shown in a preview is not an offer to buy or sell.
15. Fees and billing
Investors. Opening an investor account is free. Fees that apply to a particular action (for example card processing, network fees where charged, redemptions or distributions) are shown before you confirm. Third parties, such as your bank, card issuer or wallet provider, may charge their own fees.
Organisations. Plans, add-ons and their prices are shown on our Plan page and in T-Suite. Transaction-based fees (for example on distributions, redemptions, secondary trades, listings, verification checks and network fees recharged at cost plus a margin) are set out in T-Suite and in your invoices, and your subscription agreement or order form, where you have one, prevails. Subscriptions are billed in advance through Stripe and renew automatically for successive periods until cancelled; you can cancel at any time with effect from the end of the current period. Trials, where offered, are available once per customer. Other fees are invoiced monthly and are payable within the period shown on the invoice. Prices are exclusive of VAT and other taxes, which are payable in addition where applicable.
Changes and non-payment. We may change our prices on at least 30 days’ notice; changes apply from your next billing period. Fees already paid are non-refundable except where required by law or expressly stated otherwise. If you do not pay on time, we may suspend paid features after notice, and you remain liable for the amounts due.
16. Digital asset services in El Salvador
The digital asset services offered through T-Suite (custody of digital assets, including the custodian wallet; exchange of digital assets; transfer of digital assets; and receipt and transmission of client orders) are provided by Libertum, S.A. de C.V., which is registered with the Comisión Nacional de Activos Digitales (CNAD) in the Registro de Proveedores de Servicios de Activos Digitales under registry entry PSAD-0094, granted on 31 August 2026 (resolution ref. CNAD-CD-477-2026), under Article 19, literals a), d) and f) numbers 1 and 2, of the Ley de Emisión de Activos Digitales. The authorised assets are USDT and USDC, and custody of RLUSD has been approved by the CNAD under the same registration. Libertum, S.A. de C.V. is supervised by the CNAD.
This registration has effect under the laws of El Salvador. It is not a licence, authorisation or passport in any other country, and it does not cover the issuance of digital assets, the structuring, promotion or management of investment products, or the activities of issuers and tenants on T-Suite. Libertum, S.A. de C.V. is also registered with the Government of El Salvador as a Bitcoin Service Provider; that registration concerns Bitcoin only.
Mandatory provisions of Salvadoran law and CNAD rules that apply to these services prevail over these Terms to the extent of any conflict.
17. No advice
Nothing on the website, in T-Suite, in our documentation, articles, videos or social media, or in any output of our AI features is investment, legal, tax, accounting or financial advice, a recommendation, or an offer or solicitation to buy or sell any security, token or other financial instrument. Information about offerings is provided by their issuers. You are solely responsible for your decisions and should obtain independent professional advice before making any investment.
18. Risk disclosures
Using tokenised assets and blockchain networks involves significant risks, including:
- Loss of capital and illiquidity: you may lose all of your investment, and you may be unable to sell or redeem your tokens.
- Issuer and asset risk: the issuer may fail to perform, the underlying asset may lose value or be impaired, and the rights attached to a token depend on the issuer’s legal documents and the law that applies to them.
- Smart-contract risk: smart contracts may contain errors or vulnerabilities, behave unexpectedly or be exploited, despite testing and certification.
- Blockchain risk: networks may be congested, delayed, halted, attacked or changed; forks may occur; transactions may fail or take time to reach finality; and network fees can rise sharply. Libertum does not control any public blockchain and may decide which forks or networks it supports.
- Irreversibility: blockchain transactions cannot be reversed. Assets sent to a wrong address or network may be lost permanently.
- Stablecoin risk: stablecoins depend on their issuers and reserves, may lose their peg, and may be frozen by their issuers.
- Key and account risk: if you lose control of a wallet you hold yourself, Libertum cannot recover it for you; if your account credentials are compromised, an attacker may try to act on your behalf. Custodian wallets are hot wallets and are exposed to cyber-security risks.
- Public data: token transfers and balances are recorded permanently on public blockchains and can be seen by anyone.
- Regulatory and tax risk: laws and regulatory approaches to tokens and digital assets are changing and may restrict or prohibit an offering, the transfer of tokens or our services, or change their tax treatment.
- Third-party risk: T-Suite relies on third parties (such as verification, payment, hosting and blockchain infrastructure providers) whose failure may disrupt the service.
This list is not exhaustive. Read each offering’s risk factors.
19. Acceptable use
You must use the website and T-Suite only for lawful purposes and in accordance with these Terms. You must not:
- break any law or regulation, or infringe anyone’s rights, including privacy and intellectual-property rights;
- use T-Suite for money laundering, terrorist financing, sanctions evasion, fraud, market manipulation, wash trading or any other financial crime, or to deal in the proceeds of crime;
- provide false, misleading or incomplete information, impersonate any person, or misrepresent your affiliation with any person;
- get around, or try to get around, eligibility checks, verification, country restrictions, investment limits, withdrawal controls or any other security or compliance measure;
- access T-Suite, other accounts, systems or networks without authorisation, probe or test their vulnerability (other than through our published security programme), or interfere with their operation, including by introducing malware or overloading them;
- copy, scrape, harvest, reverse-engineer, decompile or create derivative works of T-Suite or its data, or use automated means to access it, except as we expressly permit;
- publish or send unlawful, defamatory, harassing, discriminatory, obscene or misleading material, spam, or unsolicited promotions;
- use our AI features to generate unlawful, deceptive or infringing content, or to profile or contact people in breach of data-protection or marketing law; or
- help or encourage anyone else to do any of these things.
20. Intellectual property
Libertum and its licensors own all intellectual-property rights in the website, T-Suite, our smart-contract code, documentation, trade marks, logos and other materials. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to use the website and T-Suite for their intended purpose. All other rights are reserved. Some smart-contract components are based on open-source code and are subject to their own licences.
You keep ownership of your user content. You grant Libertum and the service providers acting for us a worldwide, non-exclusive, royalty-free licence to host, store, copy, process, display and transmit your user content as needed to provide, secure and improve T-Suite, to comply with the law and as described in our Privacy Policy. If you are a tenant, you also grant us a licence to use your names, logos and branding to operate your portal and, unless you tell us otherwise, to identify you as a customer. You confirm that you have the rights needed to grant these licences.
As between you and Libertum, you may use the output that our AI features generate for you, subject to these Terms and to third-party rights. Similar output may be generated for other users. If you send us feedback or suggestions, we may use them without obligation to you.
21. Third-party services
T-Suite integrates services provided by third parties, such as Sumsub (identity verification), Stripe (card payments and billing), Google (Gmail connection), blockchain networks and their infrastructure providers, and, where available, fiat on- and off-ramp services provided by Bridge under its own terms and its own verification. Your use of a third-party service may be subject to that provider’s terms and privacy policy, which you may be asked to accept. Libertum is not responsible for third-party services, websites or content, including content linked from our website, and a link does not mean that we endorse it.
22. AI features
Some features use artificial-intelligence models provided by Anthropic to research, summarise, translate and draft content. When you use them, the content you submit and relevant data from your workspace are sent to our AI provider to produce the result, as described in our Privacy Policy. 23. Privacy
Our Privacy Policy explains how we collect, use and share personal data, including the information we share with issuers about investors’ activity in their offerings, and our Cookie Policy explains our use of cookies and similar technologies.
24. Suspension and termination
By you. You may stop using T-Suite at any time and ask us to close your account by contacting [email protected]. Before closing, withdraw any assets you hold in a custodian wallet; we will help you transfer them to a wallet you control, subject to compliance checks. Subscriptions end at the end of the current billing period.
By us. We may suspend or restrict your account, a feature, an offering or a portal, or terminate these Terms with you: (a) on 30 days’ notice for any reason; or (b) immediately where we reasonably believe it is necessary because you have materially breached these Terms, to comply with the law or with a request of a competent authority, because of a sanctions, financial-crime or security concern, because you have not paid amounts due, or to protect other users or Libertum. Where the law allows, we will tell you the reason.
Effect. Termination does not affect tokens you own: these remain yours, and the rights attached to them are governed by the issuer’s terms. We will continue to allow you to withdraw your assets unless the law or an order prevents it. We keep records as required by law (see our Privacy Policy). Amounts due remain payable, and any section that by its nature should survive termination (including sections 17 to 33) survives.
25. Disclaimers
The website and T-Suite are provided “as is” and “as available”. To the extent permitted by law, we make no warranty that they will be uninterrupted, timely, secure or error-free, that information on them is accurate, complete or current, or that they are suitable for any particular purpose. We may change, suspend or discontinue any feature, network or asset that we support. Nothing in this section affects any rights you have as a consumer that cannot be excluded by law.
26. Limitation of liability
What we do not exclude. Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited by law. If you are a consumer, nothing in these Terms affects your statutory rights.
Your assets. Assets held in your custodian wallet belong to you, and nothing in this section limits our obligation to return them to you or to account for them in accordance with these Terms and the law.
Subject to the above:
- we are not liable for losses that were not reasonably foreseeable, or that arise from your breach of these Terms, your own decisions (including investment decisions), the acts or omissions of issuers, tenants, transfer agents or other users, changes in the value or price of any asset, the operation or failure of any blockchain network or third-party service, or events outside our reasonable control;
- if you use T-Suite for business purposes, we are not liable for any loss of profit, revenue, business, contracts, goodwill or anticipated savings, or for any indirect or consequential loss; and
- our total liability to you arising out of or in connection with these Terms, whether in contract, tort (including negligence) or otherwise, is limited to the greater of (a) the fees you paid to Libertum in the 12 months before the event giving rise to the claim and (b) £100.
These limits apply to each Libertum company and to our officers, employees and agents.
27. Indemnity
If you use T-Suite for business purposes (including as an issuer, tenant, asset manager or fund manager), you will indemnify Libertum and its group companies, officers, employees and agents against all losses, liabilities, claims, costs and expenses (including reasonable legal fees) arising out of a third-party claim or regulatory action relating to: your offering, tokens, assets or portal; your user content and marketing; your use of investor or prospect data; or your breach of these Terms or of the law. We will tell you promptly of any such claim and allow you to take part in its defence.
28. Force majeure
We are not responsible for any failure or delay caused by events beyond our reasonable control, including the failure, congestion, fork or attack of a blockchain network, failures of internet, hosting, payment or other third-party providers, cyber-attacks, power failures, epidemics, war, terrorism, civil unrest, natural disasters, industrial action, or acts or orders of governments or authorities. We will take reasonable steps to limit the effect of such an event.
29. Complaints
We want to hear when something has gone wrong. Complaining is free.
How to complain. In T-Suite, open a support ticket from the Support section (or a dispute, for a disagreement with an issuer about an offering); or email [email protected]; or write to the Compliance Officer, Libertum, S.A. de C.V., Av. La Revolución, Presidente Plaza, level 6, office 12, San Salvador, El Salvador. Please give your name, the email address of your account, the offering or transaction concerned, what went wrong and what you would like us to do.
What happens next. We will acknowledge your complaint in writing within 2 business days, investigate it fairly through someone not involved in the matter, and send you a written response within 15 business days of receipt. If a complaint is complex, we will tell you why we need more time, and we will send our final response no later than 2 months after receipt. If you are not satisfied, you can ask for a review by our Compliance Officer, who will reply within 15 business days.
Disputes with issuers. If you have a disagreement with an issuer about its offering, you can raise a dispute in T-Suite. The issuer can reply on the platform and Libertum can help by sharing platform records and proposing a resolution, but we do not decide the merits of a dispute about the issuer’s obligations, and you keep all your rights against the issuer.
Other options. For complaints about the digital asset services in section 16, you may also contact the CNAD, which supervises Libertum, S.A. de C.V. You may also have the right to take your complaint to the courts or to an alternative dispute-resolution body available to you under the law that applies to you. This procedure does not limit any of your legal rights.
30. Notices
We may send you notices by email to the address on your account, through T-Suite, or by publishing them on the website. You should keep your email address up to date. You may send notices to us at [email protected] or by post to Libertum Ltd, 15 Crammavill Street, Grays, England, RM16 2AP.
31. General
Assignment. You may not transfer your rights or obligations under these Terms without our written consent. We may transfer our rights and obligations to another Libertum group company, or to a buyer or successor of all or part of our business, provided this does not reduce your rights.
Severability. If any part of these Terms is found to be invalid or unenforceable, it will be applied to the extent permitted by law and the rest of these Terms will remain in force.
Entire agreement. These Terms, together with the documents referred to in them, are the entire agreement between you and Libertum about their subject matter. If you are using T-Suite for business purposes, you have not relied on any statement that is not set out in them. Nothing in this section limits liability for fraud.
No waiver. If we do not enforce a right straight away, we may still enforce it later.
Third-party rights. Libertum group companies may enforce these Terms. Otherwise, no one other than you and us has any right to enforce them under the Contracts (Rights of Third Parties) Act 1999.
Relationship. Nothing in these Terms creates a partnership, joint venture, agency or employment relationship, and Libertum does not act as your fiduciary except where the law requires it.
32. Governing law and courts
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to the following:
- if you are a consumer, you keep the protection of the mandatory provisions of the law of the country where you live, and you may bring proceedings in the courts of that country where that law allows it (if you live in Scotland or Northern Ireland, you may bring proceedings there);
- the digital asset services described in section 16 are also subject to the mandatory laws of El Salvador and to the supervision of the CNAD; and
- we may seek urgent or injunctive relief in any court of competent jurisdiction.
33. Language
These Terms are available in English and Spanish. If there is any inconsistency between the versions, the English version prevails, except where mandatory law requires otherwise.
