What does Libertum do, and what does my counsel do?

Structuring organises the work and prepares drafts: the intake, the playbook, the document set, the checklists and the QA checks. Your own counsel reviews and finalises the documents, gives any legal opinion, and you and your counsel make the filings. Structuring prepares drafts — it is not legal advice.

Which jurisdictions are covered?

Three regulatory packs today: El Salvador (CNAD, under the Digital Asset Issuance Law), the United States (SEC Regulation D and Regulation S private offerings) and the European Union (MiCA, with MiFID II financial instruments handled through a prospectus-route assessment). Libertum's licence is in El Salvador; in the US and the EU you rely on your own counsel and, where needed, your own authorisations.

How long does it take?

It depends on the jurisdiction and on how much you already have. The El Salvador pack gives indicative timings: due diligence 3–4 weeks, architecture design 3–4 weeks, structuring about 4 weeks, certification 4–6 weeks for public offerings and CNAD approval 6–8 weeks. For the US and the EU, timing is set with your counsel and depends on the route you choose.

What do I need to get started?

Basic facts about the issuer, the asset and the raise. The intake guides you question by question, and Libby can propose answers from your documents for you to accept. Some items — audited financial statements, signed or notarised originals, third-party reports, counsel's opinions — come from outside the platform; the checklist shows which ones block the offering.

Are the documents final?

No. Every document is a draft for review by counsel competent in your jurisdiction. The packs themselves are in beta and pending counsel review.

What happens to my data?

This assessment is only sent when you submit it, and only to Libertum's team so we can respond. Inside T-Suite your structuring project lives in your own workspace; your counsel sees only what you share through a review link. See our privacy policy for details.
